Aceteroid is a proprietary platform developed, owned, and operated by ERPROOTS Private Limited

1. Liability and Limitations

Aceteroid authorizes users and clients to access its systems and services through a limited license. Users and clients shall not tamper with, exploit, transfer, or misuse such rights without the express written consent of Aceteroid. 

Unless otherwise agreed in writing, no rights are assigned or transferred to the users or clients. Aceteroid shall not be liable for any security lapse caused by negligence, misuse, or failure of the user or client to maintain appropriate safeguards. 

2. Ownership of Intellectual Property

All pre-existing intellectual property of Aceteroid or of the user and/or the client shall remain the exclusive property of the respective owner. 

Aceteroid retains ownership of all pre-existing tools, methodologies, software source code, technical frameworks, and know-how developed or owned by Aceteroid. 

Nothing contained in this policy transfers ownership of such intellectual property without the express written consent of the respective owner. 

3. Confidentiality and Data Transfer

All data and information obtained from users and clients, including but not limited to system information, SAP landscape metadata, technical documentation, code artifacts, configuration data, usage information, and related operational information, shall be treated as confidential. 

Aceteroid shall not disclose such information to third parties except where necessary for providing the agreed services or where disclosure is required by law or contractual obligation. 

Aceteroid may transfer data or information to authorized third-party service providers strictly for the purpose of performing the agreed services. Such transfers shall be deemed accepted by the users and clients when using the Aceteroid platform. 

4. Breach and Damages

A party shall be considered in material breach if it fails to perform any material obligation and does not cure such failure within ten (10) days after receiving written notice from the other party. 

In the event of such breach, the non-breaching party may suspend performance or terminate the agreement without prejudice to other available remedies. 

To the maximum extent permitted by law, the total aggregate liability of Aceteroid arising from or related to the use of services shall not exceed the fees paid by the user or client for the services giving rise to the claim. 

Aceteroid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business, goodwill, or anticipated savings. 

The liability limitation shall not apply in cases of fraud, wilful misconduct, proven intellectual property infringement, breach of confidentiality, or statutory liabilities that cannot be limited under applicable law. 

Users and clients shall take reasonable steps to mitigate any losses. 

5. Force Majeure

Neither party shall be liable for delays or failure in performance caused by events beyond reasonable control, including epidemics, pandemics, lockdowns, changes in law, natural disasters, or major cyber incidents not caused by negligence. 

The affected party shall notify the other party within three (3) days of such event. Both parties shall take reasonable efforts to mitigate the impact and resume performance as soon as possible. 

If such event continues for more than 45 days, either party may terminate the agreement without liability except for obligations already accrued.
